Beta End-User License Agreement

This is the current agreement for the Bedevere Desktop beta — the authoritative version referenced from within the application, also shown on the installer’s license page and bundled with the app as LICENSE.txt.

This End-User License Agreement (“Agreement”) is a legal agreement between you (“you”) and Massimo Meneghello, trading as “KoliStat” (“KoliStat”, “we”, “us”), an individual based in the United Kingdom, for the Bedevere Desktop software, including its installer, executables, and accompanying files (the “Software”).

1. BETA SOFTWARE. The Software is pre-release “beta” software provided for evaluation and testing. It may be incomplete, contain errors, and change or stop working. It is not intended for production or business-critical use. We may modify, suspend, or discontinue the Software or the beta program at any time.
2. LICENSE GRANT. Subject to this Agreement, KoliStat grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, solely to evaluate the Software during the beta period.
3. RESTRICTIONS. You may not: (a) redistribute, sell, rent, lease, or otherwise make the Software available to third parties; (b) modify, adapt, or create derivative works of the Software; (c) reverse engineer, decompile, or disassemble the Software, except where this restriction is prohibited by applicable law; (d) remove or alter any proprietary notices; or (e) use the Software to build a competing product. These restrictions do not apply to the open-source components in Section 7, which remain governed by their own licenses.
4. OWNERSHIP. The Software is licensed, not sold. KoliStat and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly stated here.
5. YOUR DATA. The Software is local-first: the files you open and the queries you run are processed entirely on your device. The Software does not transmit your data, files, queries, or usage to KoliStat. If a future version introduces optional error or performance reporting, what it collects and how to control it will be described at kolistat.com/privacy and covered by an updated version of this Agreement. You are responsible for your data and for complying with laws applicable to it.
6. FEEDBACK. If you give us feedback about the Software, you grant KoliStat a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
7. THIRD-PARTY & OPEN-SOURCE COMPONENTS. The Software includes third-party and open-source components (including software under the MIT and Apache 2.0 licenses). Those components are provided under their own terms, listed in the accompanying THIRD-PARTY-NOTICES file, which govern your use of them. Nothing here limits your rights under those licenses.
8. NO WARRANTY. THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Because the Software is beta, you assume all risk of using it, including possible data loss.
9. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOLISTAT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE. KOLISTAT’S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID FOR THE SOFTWARE (NIL DURING THE FREE BETA) OR (b) GBP 50 (fifty). Nothing in this Agreement excludes or limits our liability where it would be unlawful to do so, including for death or personal injury caused by negligence, for fraud, or for your statutory rights as a consumer under the laws of England and Wales.
10. TERM & TERMINATION. This Agreement is effective until terminated. It terminates automatically if you breach it, when the beta period ends, or if we discontinue the Software. On termination you must stop using and uninstall the Software. Sections 3-9 and 11 survive termination.
11. GENERAL. This Agreement is governed by the laws of England and Wales, without regard to its conflict-of-laws rules, and the courts of England and Wales have exclusive jurisdiction. If any provision is unenforceable, the rest remains in effect. This is the entire agreement between you and KoliStat regarding the Software and supersedes prior understandings.
